Default Looking At a 99 Miata

So i am looking at this 1999 Silver Miata. Kid wants to Trade for my 2002 Jeep liberty (mind u my Jeep is in fair condition besides having 212k) his 1999 miata has 97k on it. 5 speed. theres some Rear Rust, Under body looks pretty clean except one Frame Rail looks like a Jack pressed it. Engine sounds good no Tick or lifter noise, sounds like small exhaust leak half way to the rear, Shifts Gear and clutch is strong. i test road it today but it feels like theres a little Sway in the rear end when i turn left or right but idk if its the car or not cause there was some ice on the roads and the tires are pretty shot. the rear end of the car rattles but i think its mainly the exhaust. i was shaking the car pretty firmly and i didnt feel any Give. the interior is ok its missing the Center console (he broke it trying to do something idk) top is good and no leaks. all fans kick on, AC is good. power steering is Flawless. going later in the week to check again. Front end and Rear end is not bend or anything its Perfect shape. i took about 3 hours going over this car (he seemed pretty pissed cause he spend about 15 minutes looking at my Jeep)

he isnt so mechanical. ik i have to replace windshild it is cracked. the Top is Glass not Plastic. car is a strong runner no weird engine noises or anything. but should i be worried about the rear quarter panel rust and the Frame rail? i am planning on getting Frame Rail and undercarrage Brace for when i get a miata. my miata budget build is 2k. (for now) i want to Track eventually. but i dont have the funds to outright buy a good one. so why i am trying to trade my winter beater SUV for one. his market value on his car even in poor is worth more than my jeep because of miles.

Look for frame rail rust in the area the front sway bar mounts.
